1. Vehicle Handover and Return
1.1. The Lessor hands over the Vehicle to the Lessee at the agreed time and place, in good working condition. The Lessee inspects the Vehicle and immediately informs the Lessor of any visible defects, which are recorded in the agreement.1.2. The Vehicle has unlimited mileage within Estonia. When traveling outside Estonia (as agreed with the Lessor), a mileage limit of 500 km/day applies. Exceeding this limit incurs an additional charge of 0.11 EUR/km unless otherwise agreed.
1.3. The Lessee returns the Vehicle at the agreed time and place, in the same condition and completeness as received, considering normal wear and tear (Vehicle Natural Wear and Tear Guide). Fuel is not included in the rental price. If the Vehicle is returned with less fuel than specified in the agreement, the Lessee must pay for the missing fuel at 1.5 times the current market price.
1.4. If the Vehicle return is delayed, the Lessee must make every effort to notify the Lessor in advance, but no later than the return time stated in the agreement. Failure to return the Vehicle and/or extend the Agreement will result in an additional charge of 2.5 times the daily rental cost for each 24-hour period. A delayed day is counted if the return is more than 19 minutes late.
1.5. In the case of an agreed delay, a fee of 1.60 EUR (including VAT) per started hour of delay applies, payable no later than upon returning the Vehicle.
2. Payments
2.1. The Lessee pays the agreed rental fee and deposit (if required) in advance to the Lessor before receiving the Vehicle (in case of an extension, before the original return time). The final deposit settlement occurs upon return and inspection of the Vehicle, where any issues will be resolved by mutual agreement on the amount and payment method.2.2. If the Lessee delays any contractual payment, a late fee of 0.25% per overdue day applies to the unpaid amount. The late fee is calculated from the day following the due date until the actual payment date (inclusive).
2.3. If the individual or organization listed as the payer fails to pay the rental fee or fulfill other obligations under the Agreement or law, the person who signed the Agreement is responsible for the rental fee and such obligations. Any outstanding amount, if applicable, will be deducted from the deposit.
3. Lessee's Obligations and Responsibilities
3.1. The Lessee shall use the Vehicle only in the countries specified in the Agreement and in accordance with the Vehicle manufacturer’s manual.3.2. The Lessee shall supply the Vehicle with fuel, and if necessary, oil, coolant, and windshield washer fluid at their own expense during the rental period. Any damage caused by incorrect fueling is the Lessee’s responsibility.
3.3. The Lessee must take good care of the Vehicle and promptly inform the Lessor of any defects. The Lessee must either repair the defects or return the Vehicle. In case of a technical failure, the Lessee must stop driving until the issue is resolved. If the Vehicle becomes inoperable abroad, the Lessee must transport it to the Estonian border at their own expense.
3.4. The Lessee shall not transfer control of the Vehicle to any third party, except for an additional driver listed in the rental agreement, while being present in the Vehicle.
3.5. The Lessee shall not use the Vehicle for taxi services, motorsports, driving on ice roads, towing, or any other purposes that do not correspond to the intended use of the Vehicle.
3.6. The Lessee shall not operate the Vehicle without a valid driver's license, while intoxicated, fatigued, or under the influence of medication.
3.7. The Lessee shall not smoke or allow others to smoke in the Vehicle.
3.8. The Lessee must comply with traffic regulations. If any fines related to the Vehicle are issued during the rental period, the Lessee is responsible for paying them. If a fine is issued after the final invoice has been settled, the Lessor has the right to claim the fine amount from the Lessee.
3.9. In case of a traffic accident, unlawful actions by third parties, or any damage, the Lessee must inform the Lessor as soon as possible. The Lessee is liable for any damage not covered by insurance (including deductible).
3.10. The Lessee is fully responsible for any lost, damaged, or broken parts or accessories of the Vehicle.
3.11. If the Lessee abandons the Vehicle, they must compensate the Lessor for the full acquisition cost of the Vehicle.
3.12. Failure to inform the Lessor of any damages will result in the Lessee paying three times the cost of restoring the Vehicle to its pre-damage condition.
3.13. The Lessee must reimburse the Lessor for all expenses arising from non-fulfillment of the rental agreement.
4. Lessor's Responsibilities
4.1. The Lessor is responsible for insuring the Vehicle with traffic insurance, which is included in the rental price. Outside the rental period, the Lessor maintains the Vehicle and performs regular maintenance.4.2. The Lessor is not responsible for any costs, damages, or lost profits resulting from Vehicle failure.
4.3. In case of a breakdown, the Lessor will provide the Lessee with another Vehicle if one is available.
5. Procedures in Case of Breakdown, Accident, or Theft
5.1. The Lessee must immediately inform the Lessor of any Vehicle failure, theft, robbery, accident, or other events that endanger the Lessor's property and follow the Lessor's instructions, including drawing an accident diagram in case of a collision.5.2. The Lessee must immediately inform the police in case of Vehicle theft, robbery, or an accident and represent the Lessor’s interests with the police until the Lessor releases the Lessee from this obligation.
5.3. In case of theft, the Lessee must provide the Lessor with all Vehicle keys and documents in their possession.
6. Agreement Validity and Dispute Resolution
6.1. The Agreement enters into force upon signing and terminates when all parties have duly fulfilled its terms.6.2. The terms of the Agreement may be modified by mutual consent in a written amendment.
6.3. The Lessor has the right to unilaterally terminate the Agreement early and demand immediate return of the Vehicle if the Lessee fails or is unable to comply with the terms, damages the Vehicle or Lessor, provides false information during the contract signing, or endangers their own or others' safety.
6.4. Any disputes between the parties shall be resolved through negotiations, and if unsuccessful, in Harju County Court.
